Terms of Service

The rules that apply when you use SellSpace as a seller or a buyer.

Version 1.0 · Last updated: 2026-10-07

1. Who we are and what these Terms cover

1.1 SellSpace is an online platform ("SellSpace", "we", "us"). You can reach us at [email protected].

1.2 SellSpace lets people and businesses ("Sellers") build an online store and sell digital products such as license keys, software, scripts and files to customers ("Buyers"). "You" means anyone who creates an account or uses SellSpace, as a Seller, Buyer, partner, Media Helper or visitor.

1.3 These Terms apply to every use of SellSpace. They form one agreement together with: the Seller Agreement (for Sellers), the Acceptable Use Policy, the Privacy Policy, the Data Processing Terms and the Refund Policy. If documents conflict, the more specific document prevails for its subject.

1.3a SellSpace is intended for Sellers worldwide and for Buyers in the European Union and elsewhere, where the law allows it.

2. Our role

2.1 SellSpace provides a hosting service and online platform: store builder, hosting of stores, order handling, automatic delivery, analytics and related tools. SellSpace acts as an intermediary between Sellers and Buyers.

2.2 The Seller is the trader and the seller of the product, and is the merchant of record for the sale. The sales contract is concluded between the Buyer and the Seller. SellSpace is not a party to that contract, does not sell the products, does not inspect or guarantee them, and is not responsible for the Seller's performance, except where mandatory law says otherwise.

2.3 Payments are processed by Stripe through Stripe Connect. Stripe's terms (including the Stripe Connected Account Agreement and the Stripe Services Agreement) apply to payment processing, identity verification and payouts, and Sellers must accept them. SellSpace is not a bank, payment institution or e-money institution and does not hold Sellers' sales proceeds.

3. Accounts

3.1 You must be at least 18 years old, or legally competent to enter a contract, to open an account. If you act for a company, you confirm that you may bind it.

3.2 You must give correct, complete and current information and keep it up to date. You must verify your e-mail address before logging in.

3.3 Keep your login details secret and tell us at once about unauthorised use. You are responsible for all activity under your account. We recommend a unique, strong password. SellSpace staff accounts are protected with two-factor authentication.

3.4 One person or company may not open several accounts to avoid a suspension, a ban or fees.

4. Plans, fees, billing and VAT

4.1 Plans. SellSpace offers Free, Premium and Pro plans. Current monthly prices are: Free EUR 0, Premium EUR 10, Pro EUR 20 (prices as shown on the website and in your dashboard at the time of purchase). Order e-mails to customers: Premium and Pro. On Free, customers get their purchase on the order page and in My account.

4.2 Transaction fees. SellSpace charges a fee on each sale made through your store: 3.5% on Free, 1.25% on Premium and 0.5% on Pro, calculated on the sale amount and deducted automatically when the payment is processed. Stripe's own processing fees are charged by Stripe in addition. Marketplace sales carry the commission described in article 12. Details are in the Seller Agreement.

4.3 Billing. Paid plans are billed monthly in advance through Stripe and renew automatically until you cancel. You can cancel at any time in the Stripe billing portal or from your dashboard. Cancellation takes effect at the end of the period already paid. We do not refund a running period, unless mandatory law requires it or we decide otherwise in writing.

4.4 VAT on our services. Prices are shown including VAT where VAT applies. For customers in the Netherlands, and for consumers and non-VAT-registered customers, we charge VAT at the applicable rate. For businesses in other EU member states with a valid VAT number the reverse-charge mechanism applies and you account for the VAT. For other EU customers we apply the rules of the One-Stop Shop (OSS) scheme where required. For customers outside the EU the applicable local rules apply. We issue invoices through Stripe or by e-mail.

4.5 Changes to prices. We may change prices and fees with at least 15 days' notice (article 8.2). Changes do not apply to sales made before they take effect.

4.6 Late or failed payment. If a subscription payment fails, we may downgrade your account to the Free plan after notice. Features not included in the new plan may stop working.

5. Payments, payouts, refunds, disputes and chargebacks

5.1 To sell, you must connect your own Stripe account and complete Stripe's verification. Sale proceeds are paid by Stripe to your Stripe account and then to your bank according to Stripe's payout schedule. We are not responsible for Stripe's decisions, delays or restrictions.

5.2 The Seller bears refunds, reversals, disputes and chargebacks on their sales, including the disputed amount, Stripe's dispute fees and any related costs, and must respond to disputes in time. Where a payment is reversed after SellSpace's fee was collected, the fee is not automatically returned (see the Refund Policy).

5.3 Where the law permits, we may withhold, offset or reverse amounts owed to us, and cooperate with Stripe, if a Seller breaches these Terms or the Acceptable Use Policy, or in case of suspected fraud.

6. Seller obligations under EU consumer law

6.1 If you sell to consumers (people acting outside their trade or profession) in the EU, EU consumer law applies to you, regardless of the country where you are established. You are responsible for your compliance. This article summarises key duties; it is not a complete list.

6.2 Information duties. Before the Buyer is bound, you must clearly show, in line with Directive 2011/83/EU (Consumer Rights Directive), as amended by Directive (EU) 2019/2161, as implemented in national law: your identity (name, address, contact details, company registration), the main characteristics of the product including functionality and interoperability of digital content, the total price including VAT and all fees, how payment and delivery work, the existence and conditions of the right of withdrawal (or its loss), the legal guarantee, and your complaint handling. SellSpace provides storefront fields and sections for you to include this information, but you remain responsible for its content.

6.3 Right of withdrawal for digital content. Consumers normally have 14 days to withdraw from a distance contract. For digital content that is not supplied on a tangible medium, the right of withdrawal is lost once performance has begun, if the consumer expressly consented to the start of performance during the withdrawal period, acknowledged that they thereby lose the right of withdrawal, and you provided confirmation of the contract (see the exception for digital content in Article 16(m) of the Directive and the applicable consumer law). You must collect this express consent and acknowledgement before delivery and keep proof. Without it, the consumer's right of withdrawal remains. SellSpace shows a required checkbox for this at checkout, stores the wording, version, time and e-mail address as proof, and repeats the confirmation in the delivery e-mail and on the order page.

6.4 Conformity of digital content and services. You must supply digital content and digital services that conform to the contract, according to Directive (EU) 2019/770 (including updates where the contract requires them), and you must remedy lack of conformity as the law requires.

6.5 Price reductions (Omnibus). When you announce a price reduction (for example a slashed price), the prior price you refer to must be the lowest price you applied during at least the 30 days before the reduction, as required by Directive 98/6/EC as amended. Do not show fake "original" prices.

6.6 VAT and taxes. You are responsible for the VAT, sales tax and income tax on your own sales, for issuing invoices where required, and for registering in the countries where you must. SellSpace does not collect or remit VAT on your behalf.

6.7 Fair commercial practices. No misleading or aggressive practices, no fake or paid reviews presented as genuine, no hidden costs or pre-ticked boxes, in line with Directive 2005/29/EC and the applicable consumer law.

6.8 Buyer data. For the personal data of your Buyers you are an independent controller under the GDPR. SellSpace is your processor for the data stored on the platform for your store, under the Data Processing Terms. You must have your own privacy notice for Buyers.

6.9 You must publish your refund and support rules and contact details in your store, and you must follow mandatory consumer rights in the Buyer's country.

6.10 Selling to businesses. For business Buyers the consumer-specific rules above may not apply, but you stay responsible for your own terms and for tax.

7. Buyers

7.1 When you buy from a store, you contract with the Seller. The Seller is responsible for the product, delivery, conformity, refunds and customer service. SellSpace delivers the product automatically on the Seller's behalf where the Seller uses the delivery system.

7.2 Your mandatory rights as a consumer are not limited by these Terms. If something goes wrong, contact the Seller first. If the Seller does not respond, contact us at [email protected] (see the Refund Policy).

7.3 Keep your order e-mail or order page: it gives access to your delivery.

8. Rules for business users (Platform-to-Business Regulation)

Sellers are "business users" under Regulation (EU) 2019/1150 ("P2B Regulation"). SellSpace commits to the following.

8.1 Plain and intelligible terms. We write these Terms in plain and intelligible language and keep them easily available in your dashboard and on the website.

8.2 Changes. We announce changes to these Terms or the Seller Agreement on a durable medium (e-mail or dashboard notice) at least 15 days before they take effect. You can end the agreement within that period. Continuing to use SellSpace after the change takes effect means you accept it. Shorter periods apply only where the law requires an immediate change, or to remedy an unforeseen and imminent danger. Changes that make a change in how your store works technically are announced at least 15 days earlier, too, unless urgent.

8.3 Restriction, suspension and termination: statement of reasons. If we restrict, suspend or terminate your account or part of it, we send you a statement of reasons on a durable medium before or at the time the restriction takes effect, naming the facts, circumstances and grounds. For termination of the whole service we give at least 30 days' notice, except where you seriously or repeatedly breach these Terms, where we are legally required to act, or where an immediate suspension is needed to protect Buyers, the platform or payment partners. You can respond and we reconsider.

8.4 Ranking and differentiated treatment. In the marketplace listings are ordered by the option the visitor chooses (newest, popular, price or rating); the default is newest. We do not accept payment for higher placement and we do not give our own or related products a better position. Stores on Free, Premium and Pro plans are treated the same in the marketplace ranking; plans differ in features and fees as described in these Terms. SellSpace does not sell goods in competition with Sellers, apart from the templates it sells itself, which are listed in the same way.

8.5 Access to data. You have access, through your dashboard, to the data generated by your store: products, orders, customers and analytics. SellSpace uses the platform data about your store to provide the service, to prevent fraud and abuse, to bill you and to improve the product; it does not sell your store data. Buyer data of your store is handled under the Data Processing Terms.

8.6 Internal complaint handling. You can complain to [email protected] about our decisions or the platform. We acknowledge your complaint and answer within 14 days with a reasoned reply, and tell you what we will do. We handle complaints seriously, without discrimination.

8.7 Mediation. If we cannot resolve a complaint, we are willing to try mediation in good faith. Each party bears its own costs, and we bear a reasonable share of the mediator's costs.

8.8 Ancillary goods and services. SellSpace may offer Sellers optional paid features (plans and paid themes, which are purchased separately and are not included in any plan). They are described on our website.

9. Digital Services Act: notice and action, moderation

SellSpace is a hosting service and, as it allows Buyers to conclude distance contracts with Sellers, an online platform under Regulation (EU) 2022/2065 (Digital Services Act, "DSA").

9.1 Points of contact. Authorities, the European Commission and the Board can reach us at [email protected]. Users can reach us at the same address, in English.

9.2 Notice and action. Anyone can report illegal content or a store that breaks these Terms: with the report button on store pages or by e-mail to [email protected]. A good notice contains (a) an explanation why the content is illegal or against these Terms, (b) the exact location (URL), (c) your name and e-mail (except for some serious offences) and (d) a statement that you act in good faith. We confirm receipt, assess notices carefully, objectively and in a timely manner, and tell the person who reported and the Seller about our decision and the available remedies. See the Acceptable Use Policy.

9.3 How moderation works. Visitors can report a store or product. A report never restricts a store by itself and there is no automatic quarantine. A member of our staff reviews each report and decides whether to clear it, restrict the store or product (quarantine), or ban it. We also use an automatic keyword filter that checks product titles and descriptions when they are created or changed and flags or blocks matches of prohibited terms. The filter is a safety net and can make mistakes. Our staff review flagged items, and the filter does not make final decisions on bans.

9.4 Statement of reasons. If we remove or restrict content, suspend or end an account, or restrict payouts on the basis of illegality or breach of these Terms, we tell the affected user (by e-mail and under Moderation notices in the dashboard, where the user can also appeal within 6 months), with a clear and specific statement of reasons: what we did, the facts and grounds (including whether automated means were used), and how to object. We do this without undue delay and, where required, at the latest when the measure takes effect, unless the law (for example a request from authorities) prevents us.

9.5 Complaints and redress. You can lodge a complaint against a moderation decision within 6 months through [email protected]. We handle it in a timely, non-discriminatory, diligent and non-arbitrary manner and reverse the decision where the complaint shows grounds. A decision is not made solely by automated means. You can also use a certified out-of-court dispute settlement body under Article 21 DSA, or go to court.

9.6 Repeated misuse. We suspend, after a warning, accounts that frequently provide manifestly illegal content, and users that frequently submit manifestly unfounded notices.

9.7 Transparency. We publish clear information about our moderation in these Terms and, where required, a transparency report.

10. Acceptable use and consequences

10.1 You must follow the Acceptable Use Policy. Prohibited are, among others, illegal goods, stolen accounts or credentials, cheats, hacks or malware that cause harm, content infringing copyright, streaming accounts, phishing, money laundering, goods subject to sanctions, child sexual abuse material, hate speech, and adult content that Stripe does not allow. Stripe's list of prohibited and restricted businesses applies as well.

10.2 Sellers are themselves responsible that their products are legal in every country in which they sell.

10.3 Consequences can be: removal of content, quarantine, suspension, a permanent ban, withholding payouts as far as the law and Stripe allow, and reporting to authorities. We apply article 8.3 and article 9.4 when we do so.

11. Intellectual property and notice and takedown

11.1 SellSpace, its software, design and brand belong to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use the platform under these Terms.

11.2 You keep the rights to the content you upload (texts, images, files, designs). You give SellSpace a worldwide, non-exclusive, royalty-free licence, for the duration of your use, to host, store, reproduce, display, deliver and adapt it as technically needed to provide the service (including delivering files to your Buyers, showing your store, and, for marketplace templates, showing and delivering the template to people who buy or preview it).

11.3 You promise that you own or have the necessary rights to your content and that it does not infringe third-party rights.

11.4 Infringement notices. If you believe content on SellSpace infringes your copyright or other rights, send a notice to [email protected] with: your identification, a description of the work, the exact location (URL) of the allegedly infringing content, a statement that you believe in good faith that the use is unauthorised, and a statement that your information is accurate. We act expeditiously, tell the Seller, and the Seller can respond (counter-notice). Repeat infringers are banned.

12. Marketplace and templates

12.1 Sellers can sell shop designs ("templates") in the community marketplace. Listings are moderated before publication.

12.2 Commission. SellSpace keeps 15% of the price of each marketplace sale. The remainder is paid to the author through Stripe Connect.

12.3 Licence to buyers. A buyer of a template receives a non-exclusive, non-transferable licence to install and use it on their own shops and to adapt it. The buyer may not resell or redistribute the template itself. The author keeps the copyright.

12.4 Templates are digital content; refunds and conformity are handled under articles 6 and 7 and the Refund Policy. Reviews can only be written by verified buyers; we do not allow fake reviews.

13. Partner program, referrals, Media Helpers and paid tasks

13.1 Partner program. Approved partners (for example streamers) receive 20% of SellSpace's own revenue (subscription fees and transaction fees) from the shops they referred, as shown in their statements. A partner is an independent party, not an employee, agent or representative of SellSpace, is responsible for their own taxes and must follow advertising and platform rules. We may suspend or end a partnership, and withhold shares obtained through abuse (self-referrals, fake shops, misleading promotion).

13.2 Media Helpers. Participants can earn a discount on paid templates by publishing their own videos about SellSpace. Videos must have the required hashtag, must be genuine, and must not use artificial views, bots, purchased views, or copied content. SellSpace decides at its reasonable discretion whether a video is approved and how many views count. A discount applies to the price of the template only, is not payable in cash and is not transferable. SellSpace may reject videos, end participation and revoke a discount obtained by manipulation.

13.3 Paid tasks. Where SellSpace pays individuals a fee per completed task (for example per approved video or solved support ticket), they work as independent contractors under their own agreement, not as employees, unless a separate written agreement says otherwise.

13.4 Referral program. Every user can invite others with a personal referral link. For a paid plan invoice or a theme purchase of a person who signed up through that link you receive 15% of the amount paid, excluding VAT, as account credit. Credit becomes available after a hold period (14 days), can only be spent on themes and plans of SellSpace, has no cash value, cannot be paid out or transferred, and is taken back for refunded or disputed payments. Self-referrals, fake accounts and artificial payments are prohibited; we can void credit and end participation in case of abuse. See the referral program documentation.

13.5 Further terms are in the Seller Agreement.

14. Data protection

14.1 We process personal data in line with the GDPR and applicable data protection law. See the Privacy Policy for what we collect, why, how long, your rights (access, rectification, erasure, restriction, portability, objection) and the supervisory authority.

14.2 We are controller for account and platform data. For your Buyers' data we are your processor (Data Processing Terms).

14.3 We do not use tracking cookies. We use only your browser's localStorage for session and preferences, and analytics that store no IP addresses.

14.4 Some providers (for example Stripe and Resend) may process data outside the European Economic Area. We rely on adequacy decisions (such as the EU-US Data Privacy Framework) or standard contractual clauses.

15. International use, sanctions and export control

15.1 We provide the service worldwide where the law allows. We may restrict access from certain countries or to certain persons where required by law or by our payment partners.

15.2 You must follow the laws that apply to you and to your Buyers, including consumer protection, tax, export control and sanctions. You may not use SellSpace if you are listed on, or owned or controlled by someone on, EU, US or UN sanctions lists, or are located in or sell to an embargoed territory in violation of those regimes.

15.3 Sellers outside the EU who sell to EU consumers must follow EU consumer rules. We have no special rules for the US, UK or other regions, but mandatory local consumer law remains unaffected. Different rules for consumers and for businesses are explained in article 6.

16. Availability and liability

16.1 We work with reasonable care and effort to keep SellSpace available and secure. The platform is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation, and we do not guarantee any revenue, sales or results.

16.2 Subject to article 16.4, our total liability to a user for all claims arising from the platform is limited, per year, to the amount that user paid us in the 12 months before the event, but not more than the fees paid to SellSpace in the 12 months before the claim. We are not liable for indirect damages, lost profit, lost data or reputation damage.

16.3 We are not liable for the products of Sellers, for Stripe or other third-party services, or for your breach of law.

16.4 Nothing limits liability for intent or deliberate recklessness, for death or personal injury, or for anything that cannot be limited by law. These limits also do not limit mandatory consumer rights.

16.5 Force majeure. We are not in breach where performance is prevented by circumstances beyond our reasonable control (overmacht), such as outages of internet or hosting providers, Stripe outages, attacks, government measures or natural events.

17. Complaints, disputes and governing law

17.1 Please contact us first at [email protected]. We reply within 14 days. See also articles 8.6, 8.7 and 9.5. Mediation is possible.

17.2 These Terms and all related disputes are governed by Dutch law. The Vienna Sales Convention does not apply.

17.3 Disputes go to the competent courts of the Netherlands, unless a mandatory rule gives you the right to go to the court where you live. Mandatory consumer protection in your country of residence remains in force, and consumers can always rely on it.

18. Changes to these Terms

We may change these Terms for good reasons, such as new features, changes in law or in payment partners' rules. We announce changes to Sellers at least 15 days in advance (article 8.2) and to others in a reasonable way. The version number and date at the top show the current version. Older versions are available on request.

19. Termination

19.1 By you: you can stop using SellSpace and close your account at any time. Cancel paid plans first (article 4.3). Unpaid amounts remain due.

19.2 By us: we may terminate with the notice in article 8.3, or immediately for serious breach, fraud, illegality, risk to others, or if Stripe or the law requires.

19.3 After termination you can export your data for 30 days where technically possible. We delete or anonymise data as described in the Privacy Policy, subject to retention duties. Articles that by nature continue (liability, IP, governing law, tax reporting) survive.

20. General

20.1 Transfer. You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor of our business, with notice.

20.2 Severability. If a provision is invalid or unenforceable, the rest stays in force and the provision is replaced by a valid one that comes closest to its purpose.

20.3 Entire agreement. These Terms and the documents listed in article 1.3 are the entire agreement on SellSpace. No waiver unless in writing.

20.4 Contact. E-mail: [email protected].
